Our clients can access our investment solutions through a variety of product structures, including individual and institutional separate accounts, mutual funds and other pooled investment vehicles, and the industry-leading iShares® ETFs.     Role Description:   The role involves the provision of legal and compliance support for the Italian businesses (iShares, Institutional, Retail, BRS, and Corporate) including a broad range of drafting and negotiating contracts of all kinds (IMAs, DAs, NDAs, fund-related agreements, outsourcing agreements) as well as advising in relation to all these businesses. The role will also involve assisting in lobbying and representing the firm in industry forums in relation to regulatory developments and regulatory implementation. General commercial legal work and specific project work impacting the relevant businesses in Italy is also contemplated.   The candidate will work alone in Milan or London reporting jointly into a senior London-based lawyer-manager and compliance officer-manager and leverage the knowledge, experience and skills of L&C EMEA and globally. The individual is expected to work with a high degree of autonomy and, once familiar with the BlackRock business structures, operating models and documentation, to work with minimum levels of supervision/review of work produced.      Key Responsibilities:   Draft and assist with service provider agreements with specific Italian reference/application for UCITS and non-UCITS funds Identify, address and manage legal risk arising within the respective businesses supported in Italy  Provide proactive legal support to the Italian business and to the Italian ExCo Contractual negotiation and documentation, providing strategic advice on legal and regulatory parameters for Italian-related product matters and sales and marketing initiatives Liaison with external legal counsel where appropriate on areas of law that impact the business concerned Assisting on ad hoc projects (Italy-specific and EMEA) Working closely, and coordinating, with other members of the EMEA and US Legal and Compliance teams Manage and document internal know-how and other material for ease of access by colleagues and successors Develop and actively manage internal client relationships within the Italian businesses supported (crucial), other internal stakeholders and with external advisors Report to the boards of relevant companies (in Italy and in EMEA) from time to time on specific initiatives requiring board approval with Italian application Assist in lobbying and representing the firm in industry forums in relation to regulatory developments and regulatory implementations Knowledge of local law and regulations so that Italy business can be proactive to new upcoming legislative and regulatory change Lead in regulatory engagement with local regulatory bodies Provide compliance advisory support to the Institutional, Retail and iShares businesses (sales and marketing, IMA contract obligations), including review of locally produced marketing Advice on regulatory reporting requirements, including providing advisory support to the Threshold Reporting team in London on local Italian Threshold matters Conduct compliance training (and tailor to local requirements) Draft, review and roll out local compliance policies, where required Relationship management and liaison with local regulator Create, maintain and carry out a local compliance monitoring program which feeds into the EMEA Risk and Controls monitoring program Responsible for the drafting and submission of the annual compliance report to CONSOB Manage fund related regulatory documentation, filing of prospectuses and application forms with the CONSOB liaising with the Fund Registration team Manage the authorization process for funds and ETFs Monitor the branch’ regulatory reporting requirements and manage the Branch’s regulatory reports: E.g. PEC, SARA. There is already a point on the reporting requirements but I want to be sure this person will be the final owner of all the reports we are required to provide (liaising with other teams and departments when this is required)  Knowledge/experience:   Italian qualified lawyer and Italian language speaker Appropriate compliance experience a distinct advantage Relevant post qualification experience gained either in-house in financial services and investment products in Italy and Europe or in medium/large private practice in financial services work in investment management and/or investment products 4 to 6 years’ relevant post qualification experience Technical expertise and experience in investment management and funds (particularly UCITS) would be an advantage  Competencies:   Persuasive and influential on a high-performing internal client base in the provision of legal advice Ability to actively manage client expectations – able to partner with the businesses supported whilst ensuring legal risk is managed independently of hierarchy/influence of local management Commercial outlook, motivated, personable and attention to detail Ability to clarify tasks and requirements, organize time and manage workload to ensure deadlines are met Ability to manage multiple tasks concurrently Ability to communicate effectively at all levels of the firm in verbal and written form Seeks to understand the businesses, products and processes which are supported Develops solutions to problems, checking where appropriate with senior lawyers Takes ownership of problems/requirements and ensures they are resolved to meet objectives – able to work autonomously and willing to be managed remotely Rejects shortcuts that could compromise quality of service and follows internal policies and procedures Gravitas and assertiveness in protecting the interests of the firm Ability and desire to work independently Team player and ability to work effectively in a matrix management structure .
